航空公司合并的反垄断法研究

Study of Airline Antitrust Merger

  • 摘要: 近些年航空公司的合并行为愈加频繁,航空公司的合并行为是否应受到《反垄断法》的规制,需要综合其合并效果及其是否可以获得豁免等来决定,文章中将中国《反垄断法》对航空公司合并这一行为的效果评价标准、豁免制度及域外适用的具体规定与欧美发达国家或地区的航空公司合并的法律规定进行比较研究,阐述中国对航空公司合并法律规定存在操作性不强、对相关市场和公共利益界定不明确的缺陷,提出了完善航空公司合并涉及的相关市场界定和关于航空公司合并的豁免制度。

     

    Abstract: Behavior of airline mergers in recent years become more frequent, whether the airline's merger behavior should be regulated by Untitrust Law or not, it decides by the combined effect and if it can be exempted, this article make a comparative study of china Antitrust Law and the American and European countries or regions' law on airline mergers about this act's effect of evaluation criteria, the exemption system and the extraterritorial application of specific provisions. It expounds China law has some defects that is not strong operational presence on airline mergers and dose not have a clearly defined on the relevant market and public interest, proposed a corresponding improvement of airline mergers involving the definition of the relevant market and airline mergers and exemption system.
